Independent Directors – The Companies and Allied Matters Act 2020 and the Nigerian Code of Corporate Governance

Independent directors have long been viewed as a solution to many corporate governance problems.Following the Enron and other corporate scandals, the requirement that independent directors constitute the majority on the board was introduced under the Sarbanes-Oxley Act (SOA) for listed companies.
