Sectoral Codes of Corporate Governance and the recently launched Nigerian Code of Corporate Governance, 2018 (NCCG) have given Inde-pendent Directors (IDs) significant prominence. The value and effectiveness of their role of moni-toring performance has however continued to come under intense scrutiny in the wake of

several corporate scandals in different parts of the world including Nige-ria, suggesting that IDs may not have been as effective in fulfilling the expectations of their role. The limited information available sug-gests that the lack of relevant and timely company information, a lack of expertise and competence and the absence of true indepen-dence of some IDs, are some of the major limitations to the effec-tiveness of IDs on corporate boards.
